1. Acceptance of Terms

By accessing or using the DiabeticLink platform ("Platform"), operated by Yaduh Smith LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

2. Description of Services

DiabeticLink is a logistics and capital management platform designed to connect independent dealers of diabetic medical supplies with capital advance services, route optimization, and procurement tools. The Platform is intended solely for use by verified business partners and is not a consumer-facing service.

3. Eligibility

You must be at least 18 years of age and operating as a legitimate business entity to use the Platform. By using the Platform, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.

4. Capital Advances

Capital advances offered through the Platform are subject to verification and approval at the sole discretion of Yaduh Smith LLC. Advances are not loans and do not constitute a lending relationship. All advance terms are governed by separate partner agreements executed between the Company and each partner.

5. Prohibited Activities

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable regulations
  • Submit fraudulent inventory, invoices, or documentation
  • Attempt to circumvent any security or access controls
  • Reverse engineer or copy any portion of the Platform
  • Resell or redistribute access to the Platform without written consent

6. Intellectual Property

All content, trademarks, and technology comprising the Platform are the exclusive property of Yaduh Smith LLC. You are granted a limited, non-exclusive, non-transferable license to use the Platform solely for its intended business purposes.

7. Limitation of Liability

To the maximum extent permitted by law, Yaduh Smith LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability shall not exceed the amounts paid by you to the Company in the three months preceding the claim.

8. Modifications

We reserve the right to modify these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

9. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Dallas County, Texas.
